Software License Agreement

Effective date: November 3, 2026

This Software License Agreement (“Agreement”) governs the use of TaskManSync software (“Software”) provided by TaskManSync (“Licensor,” “we,” “us,” or “our”).

By purchasing, downloading, installing, activating, or using the Software, you (“Licensee,” “you,” or “your”) agree to this Agreement. If you do not agree to these terms, do not install or use the Software.

1. Definitions

Software means the TaskManSync application and its associated files, documentation, updates, and materials distributed by the Licensor, excluding third-party components governed by separate licenses.

Licensed Major Version means the major version series covered by your license. For example, a license for version 1 covers version 1.x releases but does not cover version 2.x releases.

License Key means the key issued or authorized by the Licensor or its designated licensing provider to identify and validate a license.

Licensee means the individual or organization to which a license is issued. Where a license is purchased by an individual, that individual is the Licensee.

2. License Grant

Subject to this Agreement, the Licensor grants the Licensee a limited, non-exclusive, non-transferable, perpetual license to install and use the Software on one computer, solely within the Licensed Major Version.

The license permits personal and commercial use, provided that the Licensee complies with this Agreement.

The license is granted to the Licensee identified by the applicable purchase or license record. It may not be transferred, assigned, sold, sublicensed, or otherwise provided to another person or organization without the Licensor’s prior written consent, except where such a restriction is prohibited by applicable law.

The Software is licensed, not sold. This Agreement does not transfer ownership of the Software or its intellectual property to the Licensee.

3. Version Entitlement and Updates

A license covers only its Licensed Major Version.

For example:

  • A version 1 license covers version 1.x releases.
  • A version 2 license covers version 2.x releases.
  • A version 1 license does not authorize the use of version 2 or later major versions.

Unless expressly stated otherwise at the time of purchase, minor releases and bug-fix releases within the Licensed Major Version are included without an additional license fee.

A new major version may require a separate license purchase. The Licensor is not obligated to provide free upgrades to later major versions.

The license to a covered version is perpetual. Releasing a newer major version, discontinuing development, or ending sales of a version does not, by itself, revoke the Licensee’s right to use the version covered by their license, subject to the termination provisions of this Agreement and applicable law.

4. License Key and Activation

A valid License Key is required where activation or license validation is implemented by the Software.

The Licensee must keep their License Key confidential and must not intentionally share, publish, sell, sublicense, or distribute it to unauthorized persons.

The Licensor or its licensing provider may validate License Keys, record activations, and enforce the version entitlement and activation limits associated with a license.

Each license authorizes use on one computer. The Licensee must not use the same license to authorize installations on multiple computers simultaneously.

If the Licensee replaces or substantially changes their computer, they may contact the Licensor to request an activation reset or transfer to the replacement computer. The Licensor will consider reasonable requests where the Licensee can demonstrate a legitimate license entitlement. An activation may be reset or transferred to prevent simultaneous use on multiple computers. The Licensor may refuse a request where there is evidence of abuse, fraud, or an attempt to exceed the one-computer limit, subject to applicable law.

The License Key identifies a license entitlement; it does not grant rights beyond those provided by this Agreement.

5. Restrictions

The following activities are strictly prohibited. The Licensee must not, directly or indirectly, personally or through another person, service, or automated system, engage in any of the following activities:

  1. Reverse engineering: Reverse engineer, decompile, disassemble, analyze, or otherwise attempt to discover, extract, reconstruct, or derive the Software’s source code, algorithms, internal logic, architecture, or implementation.
  2. AI-assisted analysis: Use artificial intelligence tools, automated agents, code analysis services, or other automated systems to reverse engineer, reconstruct, reproduce, or derive any part of the Software’s source code or underlying implementation.
  3. Modification: Modify, adapt, translate, patch, or create derivative works of the Software.
  4. Redistribution: Redistribute, publish, sell, rent, lease, lend, sublicense, or otherwise make the Software available to another person or organization.
  5. License key distribution: Share, publish, sell, sublicense, or distribute a License Key to an unauthorized person.
  6. Removal of notices: Remove, obscure, or alter copyright notices, proprietary notices, or other attribution included with the Software.
  7. Circumvention: Circumvent, disable, bypass, or interfere with license validation, activation, or other technical measures used to enforce license entitlements.
  8. Unlawful use: Use the Software in violation of applicable law.

These restrictions apply regardless of the tools, methods, or technologies used, including artificial intelligence systems and automated software agents.

Nothing in this Agreement is intended to restrict rights or activities that cannot lawfully be restricted under applicable law.

6. Ownership and Intellectual Property

The Software and its original components are and remain the property of the Licensor or their respective rights holders.

The Licensor retains all rights, title, and interest in the Software, including applicable copyright, trademark, and other intellectual property rights, except for the limited usage rights expressly granted by this Agreement.

No rights are granted by implication. All rights not expressly granted to the Licensee are reserved by the applicable rights holder.

7. Third-Party Components

The Software may include or depend on third-party software, libraries, or other components that are governed by separate license terms.

Those components remain subject to their applicable licenses. Where a third-party license grants rights or imposes obligations that differ from this Agreement, the third-party license governs the relevant component to the extent required by its terms.

Applicable third-party copyright notices and license texts will be provided where required.

Nothing in this Agreement is intended to remove or restrict rights that the Licensee receives under an applicable third-party license.

8. Complimentary and Beta Licenses

The Licensor may distribute License Keys at no charge for beta testing, evaluation, promotional purposes, or other reasons.

Unless the terms accompanying a particular key expressly state otherwise, a complimentary key grants the same version entitlement and usage rights as the corresponding paid license.

Beta and pre-release software may be incomplete, unstable, contain errors, or be subject to substantial changes, including the removal or alteration of features. The Licensor does not guarantee that beta software will be maintained, that its features will remain unchanged, or that it will be suitable for production use. The Licensee should not rely on beta software as the sole means of storing or protecting important data and should maintain appropriate backups. To the maximum extent permitted by applicable law, beta and pre-release software is provided without any promise of production-level reliability or support. Nothing in this section excludes or limits liability or rights that cannot lawfully be excluded or limited.

A complimentary license does not grant rights to a later major version unless those rights are expressly stated.

9. Support and Availability

Unless expressly promised as part of a purchase or separate written agreement, the Licensor is not obligated to provide technical support, maintain a particular release, provide updates indefinitely, or ensure compatibility with every future operating system, desktop environment, or third-party component.

The Licensor may discontinue development, sales, or distribution of the Software, subject to rights already granted to Licensees and applicable law.

10. Termination

The Licensor may terminate a license if the Licensee materially breaches this Agreement and, where the breach can be remedied, fails to remedy it within a reasonable period after receiving notice.

Upon termination, the Licensee must stop using the affected Software and delete copies that the Licensee is no longer legally entitled to retain.

Termination does not remove rights or remedies that have already accrued to either party. Nothing in this section limits any rights or remedies that cannot lawfully be excluded.

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Software is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Licensor does not warrant that the Software will be uninterrupted, error-free, secure, or compatible with every system or configuration.

Some jurisdictions do not permit certain warranty exclusions. To the extent required by applicable law, the exclusions in this section do not apply.

12. Limitation of Liability

To the maximum extent permitted by applicable law, the Licensor will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, revenue, or business arising from or related to the use of, or inability to use, the Software.

To the maximum extent permitted by applicable law, the Licensor’s total liability for claims arising from or related to the Software or this Agreement will not exceed the amount the Licensee paid for the applicable license.

These limitations do not apply to liability that cannot lawfully be excluded or limited.

13. Purchases and Refunds

Purchases of the Software may be completed through Lemon Squeezy. For transactions processed through its platform, Lemon Squeezy acts as the Merchant of Record and is the seller to the customer for the payment transaction. Lemon Squeezy handles payment processing and applicable transaction taxes, and administers payment-related matters in accordance with its own terms and policies. The Licensor grants the software license described in this Agreement and is responsible for the Software itself, including any support expressly offered by the Licensor.

The price, payment terms, and any product-specific conditions presented during checkout apply to the purchase. Refund requests should be submitted through the purchase channel and will be handled in accordance with the refund policy presented at purchase, the applicable policies of Lemon Squeezy, and applicable law. Lemon Squeezy may also exercise its own rights concerning refunds, disputes, and chargebacks under its policies.

Nothing in this Agreement excludes or limits a refund, consumer protection, or other legal right that cannot lawfully be excluded or limited.

14. Changes to This Agreement

The version of this Agreement presented when the Licensee obtains a license governs that license, except where a change is required by law or a later change is expressly accepted by the Licensee.

A revised Agreement does not automatically remove rights already granted under an earlier license.

15. Governing Law

This Agreement is governed by the laws of the Commonwealth of Virginia, United States, excluding its conflict-of-law rules, unless applicable law requires otherwise.

Any dispute arising from this Agreement will be subject to the jurisdiction of the courts located in Virginia, subject to mandatory consumer-protection rules and other applicable law.

16. General Terms

If any provision of this Agreement is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

The Licensee may not transfer or assign this Agreement or the license except as expressly permitted under Section 2 or where such a restriction is prohibited by applicable law.

This Agreement, together with any separate written agreement or purchase-specific terms that expressly apply, constitutes the entire agreement between the Licensor and the Licensee concerning the Software license and supersedes any prior understanding on that subject.

A failure or delay by the Licensor to enforce any provision of this Agreement does not waive the Licensor’s right to enforce that provision later.
